1. Platform Role
SUMMITS Composer (“Composer”) is a technical authoring system that enables independent providers (“Providers”) to create, version, and publish structured nutrition plans (“Plans”) for use within the SUMMITS platform.
SUMMITS provides technical infrastructure only. SUMMITS does not provide medical, clinical, regulatory, or credentialing services and does not evaluate the clinical appropriateness of any Plan.
2. Independent Professional Status
By using Composer, you acknowledge and agree:
You are an independent professional.
You are not an employee, contractor, agent, or representative of SUMMITS.
No partnership, joint venture, agency, or supervisory relationship is created.
SUMMITS does not review, approve, supervise, or monitor Plans prior to publication. All professional decisions and client interactions remain solely your responsibility.
3. Credential & Compliance Obligations
You represent and warrant that:
You hold all licenses, certifications, or credentials required in your jurisdiction.
You are legally authorized to provide the services associated with your Plans.
All credential information you provide is accurate and current.
You agree to promptly notify SUMMITS of any suspension, restriction, or expiration of your credentials.
SUMMITS may request verification materials but is not obligated to independently validate your credentials.
You are solely responsible for regulatory compliance, scope-of-practice limitations, and professional duty of care.
4. Plan Responsibility
You retain ownership of and full responsibility for the content of any Plan you create or publish.
SUMMITS does not create, modify, endorse, or determine the appropriateness of your Plans. Plans are treated as Provider-authored configurations that generate outputs based on user-selected targets.
You are solely responsible for:
Accuracy of nutritional or biometric targets
Client suitability
Compliance with applicable laws and regulations
By publishing a Plan, you grant SUMMITS a non-exclusive, worldwide license to host, process, display, and execute the Plan solely for purposes of operating the SUMMITS platform.
5. No Clinical Relationship; HIPAA
Use of Composer does not create:
A provider-patient relationship between SUMMITS and any end user
A supervisory relationship between SUMMITS and Provider
Delegated medical authority
Unless a separate written Business Associate Agreement (BAA) is executed, Composer is not intended for HIPAA-covered workflows, and SUMMITS does not act as a Business Associate.
Providers are responsible for determining whether their use of Composer implicates healthcare privacy laws.
6. User Activation
Plans become active only when explicitly selected or activated by an end user.
SUMMITS generates outputs based on user-selected targets. Users may disable or replace a Plan at any time.
7. Data & Privacy
Composer may provide access to:
Plan configuration data
Limited user-selected targets
Account-level analytics
SUMMITS processes data in accordance with the SUMMITS Privacy Policy.
You are responsible for ensuring that any data you input into Composer complies with applicable privacy laws.
8. Prohibited Uses
You may not use Composer to:
Provide medical diagnoses
Misrepresent credentials
Impersonate licensed professionals
Create fraudulent or deceptive Plans
Violate licensing or regulatory requirements
SUMMITS reserves the right to suspend or terminate access at its discretion for violations of these Terms or misuse of Composer.
9. Indemnification
You agree to indemnify and hold harmless SUMMITS Inc., its officers, employees, and affiliates from any claims, damages, liabilities, or expenses (including attorney’s fees) arising from:
Your Plans
Your professional services
Misrepresentation of credentials
Regulatory or scope-of-practice violations
This includes claims relating to health outcomes associated with Plans you create.
10. Limitation of Liability
To the fullest extent permitted by law, SUMMITS shall not be liable for:
Clinical outcomes
Professional malpractice claims
Regulatory penalties
Loss of license
Client disputes
Composer is provided “as is” as technical infrastructure.
11. Modifications
SUMMITS may update these Terms periodically. Continued use of Composer constitutes acceptance of the revised Terms.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware.
Disputes shall be resolved through binding arbitration administered by the American Arbitration Association in Santa Monica California, unless otherwise required by law.
